BYLAW

 

March 2005 Revision

 

 

Article I - NAME

 

Section 1.1 - The name of this non-profit public benefit organization shall be the NORTHERN

                        CALIFORNIA ANGLING and CAMPING CLUB of the DEAF (NCACCD).

 

Article II - PURPOSE

 

Section 2.1 - The object and general purpose of this organization shall be to:

 

                       a) Promote and encourage angling and camping;

                       b) Encourage members to become involved and to enjoy the outdoors of our state;

                       c) Promote the general betterment of the Deaf;

                       d) Maintain and enhance the social aspect of the organization for the  

                       convenience of its membership;

                       e) Encourage youths to enjoy a lifelong outdoor experience;

                        f) Refrain from partisan political activity.

 

Article III - MEMBERSHIP and DUES

 

Section 3.1 - Membership in this organization shall be open to Deaf persons and their friends 

                       who are at least 18 years of age who are active, interested in and contribute to 

                       the purpose for which this organization has been founded.

 

Section 3.2 - Each member shall:

 

                     a) Maintain current dues;

                     b) Be eligible to vote at meetings;

                     c) Be eligible to hold office if residing in Northern California and attending 

                         meetings regularly.

 

Section 3.3 - Dues shall be determined by a majority vote of members present and voting at

                      a regular meeting.

 

Section 3.4 - Officers or members may be suspended or expelled, temporarily or permanently for

                       unbecoming conduct by a 2/3 vote of members present and voting.

 

 

Article IV - OFFICERS, ELECTION and DUTIES

 

 

Section 4.1 - President: presiding officers with general supervision of activities of all officers and

                       events and as an ex-officio member of the committees.

 

Section 4.2 - Vice President: presides in absence of President.

 

Section 4.3 - Secretary: responsible for minutes, correspondence, documents and mailing of  

                       minutes.

 

Section 4.4 - Treasurer: responsible for:

 

                     a) Receiving and recording all funds;

                     b) Depositing funds in organization's bank account as is expediently reasonable;

                     c) Registering bank account with signatures of all Executive Committee officers;

                         the Treasurer and/or at least one officer shall sign checks.

                     d) Disbursing funds as directed by membership or Executive Committee;

                     e) Presenting financial reports for meetings;

                      f) Presenting annual audited reports at November meetings or as a voted request of

                          membership.

 

Section 4.5 - Auditors: President shall appoint two members recommended by Treasurer to

                       examine financial reports to see that all monies received and disbursed are

                       accounted for and authorized.

 

Section 4.6 - Auditors shall not be family members of Treasurer.

 

Section 4.7 - Only with auditors' signatures shall reports be submitted for official approval.

 

Section 4.8 - Elections shall be held in even-numbered years during November meeting, and

                       terms shall start after conclusion of meeting.

 

Section 4.9 - The term for each office shall be two years.

 

Section 4.10 - Executive Committee may fill vacancies for remainder of terms.

 

Section 4.11 - Member-at-large shall perform such duties as assigned by President and/or

                         Executive Board.

 

 

Article V - MEETINGS and QUORUMS

 

Section 5.1 - Meeting shall:

 

                       a) Be four times each year with at least one month's notice to members:

                       b) Include some gathering such as a potluck and door prizes by raffle.

 

SECTION 5.2 - Quorum for regular meeting shall be 15% of outstanding members are being presented.

SECTION 5.3 - Quorum for committee meeting of any events shall be simple majority of 15% outstanding members.

 

 

 

Article VI - COMMITTEES

 

SECTION 6.1 - Executive committee shall be comprised of President, Vice President, Treasurer, Secretary, Member-at-Large, Web Master and Schedule Planner

 

 

 

Article VII - PARLIAMENTARY AUTHORITY

 

Section 7.1 - Parliamentary procedures not covered by these by-laws shall be determined by

                       reference to Bummy's Basic Parliamentary Guide (or Robert's Rule of Order, 

                       newly revised).

 

Section 7.2 - Under no circumstances shall these by-laws be suspended; only standing rules

                       may be suspended by a 2/3 vote of members present and voting.

 

 

Article VIII - AMENDMENTS

 

Section 8.1 - These by-laws may be amended;

 

                        a) By two-third (2/3) vote of members present and voting;

                        b) After at least a month's notice of proposed vote on amendments.

 

Section 8.2 - Proposed amendments shall;

 

                       a) Be submitted to Executive Committee for review and recommendation at least

                            60 days prior to vote;

                       b) Become effective upon approval of membership.

 

 

Article IX - DISSOLUTION

 

Section 9.1 - In the event of dissolution, all assets remaining shall be distributed to a qualified

                       tax-exempt organization (s) having similar objectives as this organization or 

                       whose primary object in interest of Deaf people.
